JAFZA company formation can take the following legal forms –

Free Zone Company (FZCO)

This registration is a Limited Liability Company within the Free Zone that allows a multiple shareholders (can be individual or corporate).

Free Zone Establishment (FZE)

This registration is a Limited Liability Company within the Free Zone that allows a single shareholder (can be individual or corporate).

Branch Company

A branch is a legal entity which already exists outside of the JAFZA Free Zone (local or international). A branch company –

• Derives its power and authority from the parent entity thus does not have separate legal personality.
• Does not have a board of directors or secretary for a company
• Must retain the same name as the parent entity and end with the designation (Branch)

JAFZA offers a wide range of business activities which are categorized into the following types of licenses:

Trading License– allows the holder to import, export, trade and store items specified on the license. In addition, there is a General Trading License, which allows the holder access to a wider range of activities and a broader range of items on the license;

Service License– allows the holder to carry out the services specified on the license.

Logistics License – allows firms to engage in logistics services such as cargo (sea, land, air), warehousing, storage, parking, transshipment and distribution.

Industrial License– allows the holder to import raw materials, carry out the manufacture of specified products and export the finished product.

National Industrial License– this is issued for manufacturing companies with at least 51% Arabian Gulf Co-operation Council (AGCC) ownership. This license allows the holder the same status as a local or AGCC inside the UAE.

E-Commerce License– allows holder to carry out buying and selling of goods and services over electronic networks via any electronic means.

Innovation License – allows for the development of new products and services.

Here are the approximate costs incurred during Company formation in JAFZA:

REGISTRATION FEES (one-time)

Free Zone Establishment (FZE) – 1 shareholder – 10,000

Free Zone Company (FZCO) – 2 or more shareholders – 15,000

LICENSE FEES

The following license fees are applicable, per annum:

Trading Licenses

Maximum 7 products from 1 group – AED 5,500

The company would be eligible for 1 visa for every 8 square metres of office space. Business park facilities allow for a maximum of two visas.

(Conversion rate – 1 US$ = 3.67 AED)

Business Park offices – AED 23,000 – AED 30,000 per annum

Standard Offices – from 26 sq.mts at AED 2,000 per sq.mt.

Showroom Type A (showroom, office, warehouse) – 891 sq.mt. at AED 800/sq.mt.

Showroom Type B (showroom, office, warehouse) – 772 sq.mt. at AED 800/sq.mt.

Showroom Type C (showroom, office) – 423.72 sq.mt. at AED 1,000/sq.mt.

Showroom Type D (showroom, office, warehouse) – 348.34 sq.mt. at AED 700/sq.mt.

Warehouses (10 KVA and 74 KVA) – 313 to 669 sq.mts – AED 350- AED 600 per sq.mt.

Factory LIU (100 KVA) – 543 to 619 sq.mts – AED 450- AED 600 per sq.mt.

Plots of Land – minimum 5.000 sq.mts – from AED 25 – AED 80 per sq.mt.
